Terms of Service

1. Acceptance of Terms

LemonSugar Ai and Relay (“the Service”) are operated by LemonSugar Ai LLC ("LemonSugar Ai", "we", "us"), trading as LemonSugar Ai. By accessing or using the Service, you agree to be bound by these Terms of Service. If you do not agree to all the terms and conditions, you may not access or use the Service. Your use of the Service is also governed by our Privacy Policy.

1a. Eligibility & Ai System Disclosure

You must be at least 16 years old to create an account. The Service is not directed to children under 13 (US, COPPA) or under 16 (EU, GDPR Art. 8). By using the Service you confirm you meet this age requirement.

The Service is an Ai system within the meaning of the EU Ai Act (Reg. 2024/1689) and comparable laws. All responses are Ai-generated and may be inaccurate, biased, or fabricated. Synthesized voice playback (TTS) is Ai-generated. See our Content & Responsible Ai Policy.

2. Description of Service

LemonSugar Ai is a smart routing platform that sends prompts to the most cost-effective large language model capable of answering them — across OpenAI, Anthropic, Google, and open-source providers. LemonSugar Ai tracks savings, manages credit balances, and provides a unified chat interface.

Relay is the API layer of LemonSugar Ai. It provides a drop-in /v1/chat/completions endpoint compatible with the OpenAI API specification, so you can use LemonSugar Ai's smart model selection in your own applications, scripts, and integrations. Relay uses your LemonSugar Ai account credits for billing and applies the same routing and savings logic as the chat interface.

3. Accounts and Subscriptions

You must register for an account to use the Service. Subscription plans and credit packs are billed through our payment processor Stripe (see Section 4). Subscriptions auto-renew unless canceled from your account settings. Cancelling a subscription stops future renewals and immediately revokes premium access for the remainder of the current billing period. Refund mechanics are governed by our Refund Policy in Section 5.

4. Payment Processing

Payments are securely processed by Stripe. Stripe handles card processing, billing, and storage of payment details on our behalf; we never see or store your full card number. For billing or order questions, contact us at hello@lemonsugar.ai.

5. Refund Policy

We offer a 30-day money-back guarantee. If you are not satisfied with your purchase, you can request a full refund within 30 days of your order date. EU/UK consumers: You have a statutory 14-day right of withdrawal for distance contracts for digital content. By starting to use the Service immediately after purchase, you expressly request immediate performance and acknowledge that your right of withdrawal is lost once performance has begun (Directive 2011/83/EU Art. 16(m)). Our 30-day satisfaction guarantee is offered in addition to, and is more generous than, this statutory minimum.

6. Acceptable Use

You agree not to use the Service for any unlawful purpose, to generate illegal, harmful, infringing, or deceptive content (including deepfakes, hate speech, malware, or attempts to jailbreak underlying models), to reverse-engineer the platform, or to abuse API endpoints. You are responsible for your prompts, for verifying the accuracy of model outputs, and for ensuring you have the rights to any content you submit. We may suspend or terminate accounts that violate these rules, for non-payment, or for security/fraud risk.

7. Relay API Terms

Your use of Relay is subject to the following additional terms:

Roles under data protection law. For your own account data we act as data controller. For prompts and outputs you submit through Relay to serve your own end users, you are the controller and we act as your processor. A Data Processing Addendum governing that processing is available at /dpa and is incorporated into these Terms by reference for Relay customers.

• API keys. Relay access requires an API key generated from your account. You are responsible for keeping your keys secure. If you believe a key has been compromised, revoke it immediately from your account settings.
• Rate limits. Relay enforces rate limits based on your subscription tier. Exceeding these limits may result in throttled or rejected requests.
• Billing. All Relay requests consume your LemonSugar Ai credits at the same per-prompt rates as the web chat. Credits are deducted at request time. If your balance is insufficient, requests will be rejected until you add more credits or upgrade your plan.
• No resale. You may not resell, sublicense, or expose raw Relay API access to third parties. Relay is for your own internal use and end-user products only.
• Backward compatibility. We aim to maintain compatibility with the OpenAI API specification, but we may introduce breaking changes with reasonable notice. You are responsible for updating your integrations accordingly.

8. Intellectual Property

LemonSugar Ai™, Relay™, the LemonSugar Ai logo, and all related branding are trademarks of LemonSugar Ai LLC. You may not use our trademarks without prior written permission. The Service and its original content are and will remain the exclusive property of LemonSugar Ai LLC.

8a. Your Content & License to Us

You own your content. Prompts, photos, notes, uploads, and other material you submit to the Service ("User Content") remain yours. We do not claim ownership of your User Content.

You grant LemonSugar Ai LLC a worldwide, non-exclusive, royalty-free, sublicensable license to host, store, copy, transmit, display, and process your User Content solely to (a) operate, maintain, and improve the Service for you, (b) route your prompts to upstream Ai providers to generate responses, and (c) comply with law. This license ends when you delete the content or your account, except for copies retained in routine backups or as required by law.

No training on your content. We do not use your User Content to train our own models, and we instruct upstream providers (where they offer this control) not to train on your inputs or outputs. See the Privacy Policy for details.

You are responsible for ensuring you have the rights to submit your User Content, that it does not infringe third-party copyrights, trademarks, privacy, or publicity rights, and that it complies with our Content Policy. Copyright owners may submit takedown notices under our DMCA Policy.

Ai outputs. Subject to your compliance with these Terms, you may use outputs the Service generates for you. Ai outputs may not be eligible for copyright protection in some jurisdictions, may be similar to outputs generated for other users, and may reflect upstream-provider restrictions — review them before relying on or redistributing them.

9. API Usage & Upstream Providers

The Service routes your requests to third-party Ai providers (including OpenAI, Anthropic, Google, and aggregators such as OpenRouter). Your use of the Service is also subject to those providers' applicable terms and acceptable use policies, and you agree not to use the Service in any way that would cause us to violate them. In particular, you may not: (a) resell, sublicense, or expose raw upstream API access to third parties; (b) use the Service to train, fine-tune, or benchmark a competing model or routing product; (c) scrape, mirror, or systematically extract outputs at scale; (d) circumvent rate limits, quotas, billing, or our model-selection logic; or (e) submit content that the upstream provider prohibits (CSAM, targeted harassment, malware, regulated advice without proper oversight, etc.). If you build a product on top of the Service for your own end users, you are responsible for binding those end users to terms at least as protective as these and for handling their support, refunds, and abuse reports. We may rate-limit, suspend, or terminate access that we reasonably believe violates this section or any upstream provider's terms.

The current list of upstream model providers, the categories of content prohibited across all of them, and links to each provider's terms and acceptable-use policy are published at /model-providers and are incorporated into these Terms by reference.

10. Disclaimer of Warranties

The Service is provided “as is” without warranties of any kind. LLM outputs are generated by third-party Ai providers and may be inaccurate, fabricated (“hallucinated”), biased, or out of date, and should not be relied upon as professional advice. Do not use the Service for medical, legal, financial, mental-health crisis, or safety-critical decisions; consult a qualified professional and, in emergencies, contact local emergency services. LemonSugar Ai LLC does not guarantee uninterrupted or error-free performance, the availability of any specific model or provider, or any specific savings amount. See the Content & Responsible Ai Policy §8 for prohibited and discouraged uses.

11. Limitation of Liability

To the maximum extent permitted by law, LemonSugar Ai LLC shall not be liable for any indirect, incidental, or consequential damages arising from your use of the Service.

12. Changes to Terms

We may update these Terms from time to time. Continued use of the Service after changes constitutes acceptance of the revised Terms.
